Terms of Service
Last updated [Effective date — set on publish]
These Terms of Service (“Terms”) govern your access to and use of Thaelior, operated by Icequia Ltd (“Thaelior”, “we”, “us”). By creating an account or using the service, you agree to these Terms. If you’re agreeing on behalf of a business, you confirm you’re authorized to bind it.
1. The service
Thaelior is an embeddable AI agent for websites. It answers your visitors using the content you provide, captures leads, and can hand a conversation to your team. We may add, change, or remove features over time.
2. Accounts and eligibility
You must be at least 18 years old to create an account. You agree to provide accurate information, verify your email address, and keep your login credentials secure. You’re responsible for all activity under your account.
3. Plans, billing, and payment
- Thaelior is offered on a free plan and paid plans. Paid plans are billed in advance, monthly or annually; annual plans are billed at ten times the monthly rate (two months free).
- Usage is measured in messages per month, according to your plan. There are no per-seat fees.
- Payments are processed by our payment provider, Stripe. We don’t store your full card details.
- Paid subscriptions renew automatically at the end of each billing period until cancelled. Prices may change; we’ll give reasonable notice before a change affects you.
- You’re responsible for any taxes that apply to your purchase.
4. Cancellation and refunds
You can cancel at any time from your billing settings. Your plan stays active until the end of the period you’ve already paid for, then reverts to the free plan. Except where required by law, fees already paid are non-refundable. [Confirm your refund policy here.]
5. Your content and responsibilities
“Your Content” means the knowledge sources you add (such as pages, files, and Q&A) and the data generated through your use of the service. You keep ownership of Your Content. You grant us a limited license to host, process, and use it solely to provide and improve the service for you.
You are responsible for ensuring that:
- you have the rights to the content you add and to let Thaelior process it;
- your use of Thaelior, and your handling of visitor data collected through it, complies with applicable laws;
- you provide your own visitors with any notices or consents the law requires.
For data about your website visitors processed through Thaelior, you act as the data controller and we act as your processor, handling that data on your behalf and on your instructions.
6. Acceptable use
You agree not to use Thaelior to:
- break the law or infringe anyone’s rights;
- upload content you don’t have the rights to, or that is unlawful, harmful, or deceptive;
- send spam, malware, or attempt to disrupt, overload, or gain unauthorized access to the service;
- reverse engineer, resell, or copy the service except as the law expressly permits.
We may suspend or limit accounts that put the service, other users, or third parties at risk.
7. AI-generated answers
Thaelior generates answers from the content you provide using third-party AI models. Answers can be incomplete or inaccurate, and are not professional advice. You’re responsible for the content you publish through the service and for reviewing how your agent responds. We don’t warrant that any answer is correct or fit for a particular purpose.
8. Intellectual property
Thaelior, including its software, design, and brand, is owned by us and protected by law. These Terms don’t transfer any of our intellectual property to you. If you send us feedback, you allow us to use it without obligation.
9. Third-party services
Thaelior relies on third-party providers — including for AI processing, payments, email delivery, and hosting — to operate. Their handling of data is described in our Privacy Policy. Your use of those services through Thaelior may also be subject to their terms.
10. Availability and changes
We work to keep Thaelior available and reliable, but we don’t guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue parts of the service, and will give notice of material changes where reasonable.
11. Disclaimers and limitation of liability
The service is provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, Thaelior will not be liable for indirect, incidental, or consequential damages, or for lost profits or data; and our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.
12. Indemnification
You agree to indemnify and hold Thaelior harmless from claims arising out of Your Content, your use of the service, or your breach of these Terms, to the extent permitted by law.
13. Termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or where required to protect the service. On termination, your right to use the service ends; sections that by their nature should survive will survive.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we’ll update the date above and, where appropriate, notify you. Continuing to use the service after changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-laws rules, and any disputes will be handled by the courts of [JURISDICTION], unless mandatory local law provides otherwise.
